Terms of Service

1. Agreement to Terms

By accessing and using the services provided by Zoravar Consultancy Services (UK) Ltd ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service and all applicable laws and regulations.

2. Services Description

Zoravar provides AI consulting services including but not limited to:

• AI Strategy Development
• Machine Learning Implementation
• Data Analytics and Engineering
• Process Automation
• SharePoint and Email Management Solutions
• Data Migration Services
• PII Data Protection
• AI-Powered Cybersecurity

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information
• Cooperate in good faith during project execution
• Provide timely feedback and approvals
• Ensure necessary access to systems and data
• Comply with all applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of receipt
• Late payments may incur additional charges
• Services may be suspended for non-payment
• All prices are exclusive of applicable taxes

5. Intellectual Property

Unless otherwise agreed in writing:

• Client retains ownership of their data and existing IP
• Zoravar retains ownership of methodologies and general knowledge
• Custom solutions developed for clients belong to the client
• Pre-existing Zoravar IP remains with Zoravar

6. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the course of the engagement. This includes:

• Business strategies and plans
• Technical specifications and data
• Financial information
• Any information marked as confidential

7. Limitation of Liability

To the maximum extent permitted by law, Zoravar's liability is limited to the amount paid for the specific service. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Third-party actions or system failures
• Force majeure events

8. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination:

• All outstanding invoices become immediately due
• Confidentiality obligations continue
• Client data will be returned or destroyed as requested
• Work product completed to date will be delivered

9. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be resolved through the courts of England and Wales.
